Welcome to Gasobu Technologies Limited ("Gasobu," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, services, and applications (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Gasobu Technologies Limited is a technology company incorporated in Uganda, specializing in:
- Artificial Intelligence research and development
- Healthcare technology solutions
- Financial technology platforms
- Logistics and e-commerce systems
- Medical devices and diagnostics

3. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet this requirement.
If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Account Registration
4.1 Account Creation
Some Services require you to create an account. You agree to:

- Maintain and update your information
- Keep your password secure and confidential
- Notify us immediately of unauthorized access
- Be responsible for all activities under your account
4.2 Account Termination
We reserve the right to suspend or terminate your account if:

- You provide false or misleading information
- Your account is inactive for an extended period
- Required by law or regulatory authority
5. Use of Services
5.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.
5.2 Acceptable Use
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Use automated systems to access our Services without permission
- Impersonate others or misrepresent your affiliation
- Harass, abuse, or harm others
- Collect user information without consent
- Use Services for illegal purposes
5.3 Healthcare Services Compliance
For users of our healthcare products (Labcome, Medufy, Dwaliro):
- You must comply with all applicable healthcare regulations
- Healthcare professionals must maintain appropriate licenses
- Patient data must be handled according to privacy laws
- Services are supplementary and do not replace professional medical judgment
5.4 Financial Services Compliance
For users of Bankroll:
- You must comply with anti-money laundering (AML) regulations
- You are responsible for accurate transaction information
- You must not use Services for fraudulent activities
- Currency exchange is subject to applicable regulations
6. Intellectual Property Rights
6.1 Our Property
All content, features, and functionality of our Services, including but not limited to:
- Software, code, and algorithms
- Text, graphics, logos, and images
- Trademarks and service marks
- AI models and datasets
- Design and user interface
are owned by Gasobu Technologies and protected by copyright, trademark, patent, and other intellectual property laws.
6.2 Your Content
You retain ownership of content you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display such content solely for providing and improving our Services.
6.3 Feedback
If you provide feedback, suggestions, or ideas, we may use them without any obligation to you.
6.4 AI Training Data
For AI Labs services:
- You retain ownership of data you provide
- We may use anonymized, aggregated data to improve AI models
- You can opt out of data use for training purposes
- Proprietary models developed for you remain your property (subject to agreement)
7. Payment and Fees
7.1 Pricing
Fees for our Services are specified on our website or in service agreements. Prices are subject to change with notice.
7.2 Payment Terms
- Payment is due according to the agreed schedule
- You authorize us to charge your payment method
- You are responsible for all applicable taxes
- Late payments may incur additional charges
- Refunds are subject to our refund policy
7.3 Free Trials
Free trials or beta access may be offered with limitations. We may terminate free access at any time.
8. Data and Privacy
Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
8.1 Healthcare Data (HIPAA/Health Privacy)
For healthcare services, we comply with applicable health privacy regulations. Protected Health Information is subject to additional safeguards outlined in our HIPAA Business Associate Agreement (BAA) where applicable.
8.2 Financial Data
Financial information is protected according to payment card industry standards (PCI DSS) and applicable financial regulations.
9. Service Availability and Modifications
9.1 Service Availability
We strive for high availability but do not guarantee uninterrupted or error-free service. We may suspend Services for maintenance, updates, or other reasons.
9.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
10. Third-Party Services
Our Services may integrate with or link to third-party services, websites, or applications. We are not responsible for third-party content, services, or privacy practices. Your use of third-party services is governed by their terms and policies.
11. Disclaimers and Limitations of Liability
11.1 Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
11.2 Healthcare Disclaimer
Our telehealth services are tools to assist healthcare delivery but do not constitute medical advice, diagnosis, or treatment. Healthcare professionals using our Services are responsible for their clinical decisions. In emergencies, contact local emergency services immediately.
11.3 Financial Disclaimer
Financial services are subject to market risks. We are not liable for financial losses resulting from market fluctuations, user decisions, or third-party actions.
11.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GASOBU TECHNOLOGIES SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, OR GOODWILL
- SERVICE INTERRUPTIONS OR ERRORS
- THIRD-PARTY ACTIONS
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR UGX 1,000,000, WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless Gasobu Technologies, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of our Services
- Violation of these Terms
- Violation of any rights of third parties
- Your User Content
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Uganda, without regard to conflict of law principles.
13.2 Arbitration
Any dispute arising from these Terms or our Services shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act of Uganda.
13.3 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions or collective proceedings.
13.4 Exceptions
Either party may seek injunctive relief or protection of intellectual property rights in court.
14. Export Compliance
You agree to comply with all applicable export control laws and regulations when using our Services, including restrictions on destinations, users, and end uses.
15. Government Users
If you are a government entity, our Services are "Commercial Items" as defined in applicable regulations, and your rights are limited to those expressly granted in these Terms.
16. Termination
16.1 Termination by You
You may terminate your account at any time by contacting us or using account settings.
16.2 Termination by Us
We may terminate or suspend your access immediately if you violate these Terms or for any reason with notice.
16.3 Effects of Termination
Upon termination:
- Your right to use Services immediately ceases
- We may delete your account and data (subject to retention requirements)
- Provisions that should survive termination remain in effect
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Gasobu Technologies.
17.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
17.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
17.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
17.5 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, pandemics, government actions, etc.).
17.6 Notices
Notices to you may be sent via email or posted on our website. Notices to us should be sent to go@gasobu.com or our registered address.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting updated Terms on our website
- Updating the "Last Updated" date
- Sending email notifications for significant changes
Your continued use after changes constitutes acceptance. If you don't agree, you must stop using our Services.
